NullC0de provides custom software development, SaaS product solutions, consulting, and related technology services. NullC0de may identify you as a client in marketing materials unless you object in writing.

6. Payment Terms

Fees for services are specified in the applicable SOW or invoice. Unless otherwise stated, invoices are due within 15 days of issuance. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances exceeding 30 days.

7. Warranties & Disclaimers

NullC0de warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that defects will be corrected. You acknowledge that software development involves inherent risks and that project outcomes depend on factors outside our control, including your timely provision of requirements, feedback, and resources.

8. Limitation of Liability

Our total cumulative liability for any claim arising out of or related to the Services shall not exceed the total amount paid by you to NullC0de for the specific services giving rise to the claim in the 12 months preceding the event.

You agree to indemnify, defend, and hold harmless NullC0de, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content or materials you provide to us.

10. Termination

Either party may terminate a service engagement in accordance with the termination provisions of the applicable SOW. Upon termination, you remain obligated to pay all fees incurred prior to termination. We may suspend or terminate your access to the Site immediately if we determine, in our sole discretion, that you have violated these Terms or applicable law.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in Miami-Dade County, Florida, administered by the American Arbitration Association under its Commercial Arbitration Rules.

These Terms, together with any applicable SOW, Privacy Policy, and other written agreements between you and NullC0de, constitute the entire agreement between you and NullC0de regarding the Services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
